MAPTIMIZER TERMS OF SERVICE
Effective Date: September 2, 2026
Agreement to These Terms
These Terms of Service (“Terms”) govern access to and use of the websites, services, products, software, marketing services, search engine optimization services, and related services provided by Maptimizer (“Maptimizer,” “Company,” “we,” “us,” or “our”). By accessing our website, purchasing or subscribing to any Maptimizer service, submitting an order, signing up for a service plan, or otherwise engaging Maptimizer, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that event, “Client” includes that entity and its authorized users.
If you do not agree to these Terms, you may not use the Services.
Description of Services
Maptimizer provides digital marketing and local search engine optimization (“SEO”) services designed to improve a business’s online visibility and presence. Services may include, depending on the service package purchased, Google Business Profile assistance and optimization, online directory and citation management, website development, website optimization, on-page and off-page SEO, keyword research and targeting, content development, blog content, Google Business Profile posts, graphic and video content, Google Analytics installation and monitoring, Google Search Console setup, website health audits, site-speed optimization, backlink development, Google Photos optimization, competitor citation strategies, review response services, local rank tracking, reporting, and related digital marketing services.
The specific Services provided to Client will be determined by the applicable order, service package, proposal, subscription, statement of work, or other written agreement accepted by Maptimizer (“Order”).
Maptimizer may modify, update, improve, discontinue, or replace portions of the Services from time to time. Maptimizer will use commercially reasonable efforts to maintain the general functionality of purchased Services but does not guarantee that any particular feature or service will remain available indefinitely.
Service Plans and Fees
Maptimizer may offer monthly subscription plans, one-time services, customized service packages, website development services, additional business-location services, and other pricing arrangements. Current advertised service packages and pricing may change from time to time.
Unless otherwise stated in an Order, subscription Services are billed on a recurring monthly basis. Client authorizes Maptimizer, or its designated payment processor, to charge the payment method provided by Client for all applicable fees, taxes, and other amounts due under the applicable service plan.
Fees are based on the Services purchased and are not contingent upon the achievement of any particular search ranking, amount of website traffic, number of leads, number of calls, number of customers, revenue, or other business result.
Client is responsible for providing accurate and current billing information and for ensuring that its payment method remains valid. If a payment is declined, reversed, disputed, or otherwise not received when due, Maptimizer may suspend Services until payment is received.
Additional Locations and Services
Certain service plans may include optimization or management for one business location. Additional business locations may be subject to additional fees as stated in the applicable Order or service plan.
Services outside the scope of the applicable plan may require additional fees and written approval from Client before work begins. Maptimizer is not required to perform services beyond the scope of the purchased plan unless otherwise agreed in writing.
Client Responsibilities
Client agrees to provide Maptimizer with accurate, complete, and timely information reasonably necessary to perform the Services. Client is responsible for the accuracy of business information, addresses, telephone numbers, hours, descriptions, services, photographs, logos, trademarks, website information, and other materials supplied to Maptimizer.
Client authorizes Maptimizer to use information, content, credentials, business listings, websites, analytics accounts, advertising accounts, social media accounts, and other materials provided by Client solely as reasonably necessary to perform the Services.
Client is responsible for maintaining appropriate ownership and administrative access to its third-party accounts and for providing Maptimizer with the permissions reasonably necessary to perform the Services.
Delays caused by Client, including failure to provide information, approvals, access credentials, content, images, or other materials, may delay performance and shall not constitute a breach by Maptimizer.
SEO Results Disclaimer
Client acknowledges that search engine optimization is affected by numerous factors outside Maptimizer’s control, including search engine algorithms, competitor activity, changes to search engine policies, changes to third-party platforms, website technology, market conditions, industry trends, and the actions of other websites.
Maptimizer does not guarantee any particular search engine ranking, Google Business Profile position, website traffic, number of leads, telephone calls, customer inquiries, conversions, sales, revenue, or other business result.
Any statements regarding expected results, typical ranking periods, increased visibility, traffic, leads, or potential revenue are estimates, examples, or marketing statements and are not guarantees of future performance.
Maptimizer may recommend strategies intended to improve Client’s visibility in local search results. However, Client acknowledges that no SEO provider can guarantee placement in Google’s or any other search engine’s organic or local search results.
Third-Party Platforms
The Services may involve third-party platforms and services, including Google Business Profile, Google Search, Google Analytics, Google Search Console, Google Maps, Bing, Apple Maps, Yelp, Waze, Yellowpages, social media platforms, online directories, website hosting providers, domain registrars, analytics providers, and other third-party services.
Maptimizer does not own or control these third-party platforms and cannot guarantee their availability, functionality, policies, algorithms, rankings, listings, approval decisions, or continued operation.
Third-party platforms may change their policies, algorithms, requirements, interfaces, pricing, availability, or functionality without notice. Such changes may affect the Services or Client’s search visibility. Maptimizer shall not be responsible for losses resulting from changes, suspensions, removals, outages, algorithm updates, account restrictions, or other actions taken by third-party platforms.
Client remains responsible for complying with the terms and policies applicable to its third-party accounts.
Google Business Profile and Directory Listings
Where included in the applicable Services, Maptimizer may assist Client with claiming, creating, updating, optimizing, or managing business listings and directory profiles.
Client represents and warrants that it has the right to provide the business information, photographs, logos, trademarks, descriptions, and other materials supplied to Maptimizer for use in connection with these Services.
Maptimizer does not guarantee that any third-party directory, search engine, mapping service, or platform will accept, publish, retain, verify, or rank Client’s business information.
Maptimizer may use commercially reasonable efforts to correct inaccurate or inconsistent listings; however, third-party platforms may reject or alter submitted information.
Website Services
If Client purchases website development, website modification, hosting, maintenance, or related services, the scope of those services will be determined by the applicable Order.
Client is responsible for providing accurate information and approving website content before publication. Client represents that it has all necessary rights to materials supplied to Maptimizer.
Unless otherwise agreed in writing, website development Services do not include ongoing hosting, domain registration, third-party software subscriptions, premium plugins, paid applications, stock photography licenses, advertising expenses, or other third-party costs.
Maptimizer does not guarantee that a website will be compatible with every browser, device, software application, search engine, or third-party service.
Content and Marketing Materials
Maptimizer may create or modify website copy, blog posts, business descriptions, directory descriptions, social media content, graphics, videos, Google Business Profile posts, metadata, and other marketing materials as part of the Services.
Client authorizes Maptimizer to create such materials based upon information supplied by Client and information reasonably available through public sources.
Client remains responsible for reviewing material factual information relating to its business, products, services, pricing, licensing, credentials, locations, and legal or regulatory claims. Client shall promptly notify Maptimizer of any inaccurate, misleading, outdated, or unauthorized content.
Maptimizer may decline to create or publish content that it reasonably believes violates applicable law, third-party platform policies, or these Terms.
Prohibited Activities
Client may not use the Services to engage in unlawful, fraudulent, deceptive, abusive, defamatory, or misleading activities.
Client may not use the Services to promote unlawful products or services, infringe another person’s intellectual property or privacy rights, distribute malware or malicious code, interfere with third-party systems, impersonate another person or business, or otherwise violate applicable law.
Client may not instruct Maptimizer to publish or distribute content that Client knows or reasonably should know is false, fraudulent, defamatory, infringing, or unlawful.
Maptimizer reserves the right to refuse or suspend Services involving prohibited activities.
Intellectual Property
Maptimizer and its licensors retain all right, title, and interest in and to Maptimizer’s websites, software, systems, processes, methodologies, templates, tools, know-how, reports, designs, materials, trademarks, service marks, copyrights, and other intellectual property, except for Client Materials expressly identified as belonging to Client.
Client retains ownership of trademarks, logos, photographs, business information, website content, and other materials supplied by Client (“Client Materials”).
Subject to Client’s payment of all amounts due, Maptimizer grants Client a limited, non-exclusive, non-transferable license to use final deliverables specifically created for Client as part of the purchased Services for Client’s internal business and marketing purposes.
Maptimizer retains ownership of its underlying methodologies, processes, templates, systems, tools, software, know-how, and pre-existing materials incorporated into any deliverable.
Use of Client Materials
Client grants Maptimizer a limited, non-exclusive license to access, reproduce, modify, publish, transmit, display, and otherwise use Client Materials solely as reasonably necessary to provide the Services.
Client represents and warrants that it has all rights, licenses, permissions, and authorizations necessary for Maptimizer to use Client Materials in accordance with these Terms.
Client shall be responsible for claims arising from Client Materials that infringe, misappropriate, or otherwise violate the rights of a third party.
Confidentiality
Each Party may receive confidential or proprietary information belonging to the other Party in connection with the Services (“Confidential Information”).
The receiving Party shall use commercially reasonable efforts to protect Confidential Information and shall not disclose it to third parties except to employees, contractors, service providers, or professional advisors who have a legitimate need to know and are subject to confidentiality obligations.
Confidential Information does not include information that is publicly available through no breach of these Terms, was already lawfully known by the receiving Party, is independently developed without use of the other Party’s Confidential Information, or is lawfully received from a third party without a confidentiality obligation.
A Party may disclose Confidential Information when required by law, subpoena, court order, or governmental authority, provided that the Party gives reasonable notice when legally permitted.
Privacy
Maptimizer may collect and process personal information in connection with the website and Services. Maptimizer’s collection and use of personal information is governed by its Privacy Policy, which is incorporated into these Terms by reference.
By submitting contact information through the Maptimizer website, Client acknowledges that Maptimizer may use that information to respond to inquiries, provide requested Services, administer Client’s account, and communicate regarding Maptimizer’s products and Services, subject to applicable law and the Privacy Policy.
Communications
By providing contact information, Client agrees that Maptimizer may communicate with Client regarding its account, Services, billing, support, scheduling, and other business matters.
Where required by applicable law, marketing communications will include appropriate methods for opting out. Opting out of marketing communications does not prevent Maptimizer from sending transactional, account-related, billing, security, or other legally permitted communications.
Cancellation and Termination
Unless otherwise stated in an applicable Order, monthly Services are provided on a month-to-month basis.
Client may cancel recurring Services by providing at least thirty (30) days’ prior written notice to Maptimizer. Cancellation will become effective at the end of the applicable notice period, and Client remains responsible for fees incurred during that period.
Maptimizer may suspend or terminate Services upon written notice if Client fails to pay amounts when due, materially breaches these Terms, provides fraudulent or misleading information, requests unlawful activity, or otherwise engages in conduct that may expose Maptimizer to legal, regulatory, reputational, or security risk.
Maptimizer may also terminate Services for convenience upon reasonable written notice.
Upon termination, Client shall remain responsible for all amounts incurred through the effective termination date. Except as expressly provided in these Terms or an applicable Order, prepaid fees are non-refundable.
Effect of Termination
Upon termination, Maptimizer will cease providing the applicable Services after the effective termination date.
Client’s obligation to pay amounts accrued before termination, as well as provisions concerning intellectual property, confidentiality, indemnification, disclaimers, limitations of liability, dispute resolution, and other provisions that by their nature should survive termination, will survive termination.
Refunds
Unless otherwise expressly stated in an applicable Order, fees paid for Services are non-refundable once the applicable Services have been performed, work has commenced, or the applicable billing period has begun.
Any refund issued by Maptimizer will be made solely at Maptimizer’s discretion unless otherwise required by applicable law.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
MAPTIMIZER DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ANY WARRANTY THAT THE SERVICES WILL PRODUCE A PARTICULAR BUSINESS RESULT.
MAPTIMIZER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY PARTICULAR SEO, SEARCH ENGINE, WEBSITE, TRAFFIC, LEAD, CUSTOMER, SALES, OR REVENUE RESULT WILL BE ACHIEVED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPTIMIZER AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF CUSTOMERS, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPTIMIZER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO MAPTIMIZER FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF MAPTIMIZER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
Client agrees to defend, indemnify, and hold harmless Maptimizer and its owners, officers, directors, employees, agents, contractors, affiliates, and service providers from and against any third-party claims, demands, actions, proceedings, damages, liabilities, judgments, losses, costs, and reasonable attorneys’ fees arising out of or relating to Client’s breach of these Terms, Client Materials, Client’s products or services, Client’s violation of applicable law, Client’s infringement or misappropriation of third-party rights, or Client’s use of the Services.
Maptimizer shall promptly notify Client of any indemnifiable claim and may participate in the defense with counsel of its choosing. Client may not settle any claim in a manner that imposes an admission of liability, obligation, restriction, or payment on Maptimizer without Maptimizer’s prior written consent.
Third-Party Services and Links
The Maptimizer website and Services may contain links to or integrations with third-party websites, software, platforms, and services.
Maptimizer does not control or endorse third-party services and is not responsible for their availability, content, security, policies, functionality, pricing, or practices.
Client’s use of third-party services is subject to the applicable third party’s terms and policies.
No Agency Relationship
Nothing in these Terms creates a partnership, joint venture, employment, franchise, fiduciary, or agency relationship between Client and Maptimizer.
Neither Party has authority to bind the other Party or incur obligations on behalf of the other Party unless expressly authorized in writing.
Force Majeure
Maptimizer shall not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including internet or telecommunications failures, hosting failures, cyberattacks, natural disasters, governmental actions, labor disputes, third-party platform outages or changes, search engine algorithm changes, acts of war, terrorism, epidemics, pandemics, or other events beyond Maptimizer’s reasonable control.
Changes to These Terms
Maptimizer may modify these Terms from time to time. Updated Terms will become effective when posted to the Maptimizer website unless a different effective date is stated.
Client’s continued use of the Services following the effective date of updated Terms constitutes acceptance of the revised Terms.
Material changes will be communicated through reasonable means when required by applicable law.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in Kent County, Michigan, and each Party consents to the jurisdiction and venue of such courts.
Dispute Resolution
Before initiating formal litigation, the Parties agree to attempt in good faith to resolve any dispute through direct communication between authorized representatives.
Nothing in this provision prevents either Party from seeking temporary, preliminary, or emergency injunctive relief when necessary to prevent irreparable harm, protect confidential information, protect intellectual property, or address unauthorized access or misuse of systems.
Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
Assignment
Client may not assign or transfer its rights or obligations under these Terms without Maptimizer’s prior written consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of Client’s assets, provided the assignee assumes the applicable obligations.
Maptimizer may assign these Terms to an affiliate, successor, or purchaser of substantially all of the assets or business relating to the Services without Client’s consent.
Notices
Notices required under these Terms shall be provided by email, recognized overnight delivery service, or another method reasonably calculated to provide actual notice.
Notices to Maptimizer may be directed to the contact information provided on the Maptimizer website or in the applicable Order.
Entire Agreement
These Terms, together with any applicable Order, proposal, service agreement, or other written agreement expressly incorporated by reference, constitute the entire agreement between the Parties concerning the Services and supersede prior or contemporaneous understandings concerning the same subject matter.
If there is a conflict between these Terms and an applicable written Order, the Order will control only with respect to the specific subject matter addressed in the Order.
Waiver
No failure or delay by either Party in exercising any right under these Terms shall constitute a waiver of that right. A waiver must be in writing and shall apply only to the specific instance for which it is given.
